Access to the interface. The protocol is software.

These terms govern access to websites, documentation and interfaces published by FXED Labs Co. LLC, a Delaware limited liability company (the operator). The perpetual venue is a set of smart contracts on Arbitrum One. Use of those contracts is at your own risk. If these terms and the contracts disagree, the contracts win.

1. Operator

FXED Labs Co. LLC publishes the marketing site and the trading interface. It is the protocol operator in the sense of Whitepaper FXED-WP-3.0: it may hold privileged on-chain roles (owner, operator, updater, pauser). It is not a broker-dealer, bank, futures commission merchant, introducing broker, or an exchange registered with the SEC or the CFTC. It does not take custody of user USDC.

2. Eligibility

The interface is not offered to US persons, or to persons in any jurisdiction where access to perpetual contracts or to the protocol would be unlawful. By using the interface you represent that you are not a US person, that you are of legal age, and that you are solely responsible for compliance with laws that apply to you. The operator may refuse, geo-restrict or withdraw the interface without notice.

3. The interface

The interface is a way to read and to submit transactions to public smart contracts. It is not an account, not a brokerage relationship, and not a mandate. Connecting a wallet is not “opening an account” with the operator. You may interact with the contracts through any compatible client. The operator does not guarantee that the interface is complete, uninterrupted, or free of error.

4. Wallets and keys

You control your wallet. The operator never asks for a seed phrase or a private key and will never hold them. Lost keys, phishing, malware and compromised devices are your risk. Transactions you sign are final on Arbitrum One once included.

5. Demo and live

Demo (fxed.xyz) uses 5,000 virtual USDC. It does not settle and does not create a position on-chain. Live uses USDC on Arbitrum One. Do not treat demo PnL as a result you can withdraw.

6. Fees

The desk may quote 5 bps open and 5 bps close. Settlement is the FeeManager value on-chain at the time of the call, plus network fees paid to Arbitrum. Overnight swap is not charged. Constructor defaults and live parameters may differ. Check the contract before you size a ticket.

7. No advice

Nothing on the site, in the docs, in the whitepaper or in the interface is an offer to buy or sell a security, a commodity interest, or a managed account, or advice of any kind. You transact only for your own account and you are solely responsible for your decisions.

8. Prohibited use

You may not use the interface to violate law, to evade sanctions, to attack the contracts, to spoof or manipulate marks, or to access it if you are a US person. You may not scrape in a way that degrades the service or impersonate the operator.

9. Intellectual property

Lockup, wordmark and this site are FXED Labs. You may not recolour the mark or present the interface as your own. Protocol code is as published; licences for source, if any, are in the repository — not these terms.

10. Disclaimers

The interface and the protocol are provided as is and as available, without warranty of any kind, including merchantability, fitness for a particular purpose, and non-infringement. Oracle prints, operator execution, sequencer liveness and USDC are outside any warranty.

11. Limitation of liability

To the maximum extent permitted by law, FXED Labs Co. LLC and its members, officers and contractors are not liable for lost profits, lost digital assets, liquidation, unpaid vault credits, oracle error, key loss, or indirect or consequential damages, whether in contract, tort or otherwise, arising from use of the interface or the protocol. Some jurisdictions do not allow certain exclusions; in those, liability is limited to the maximum extent permitted.

12. Changes and governing law

The operator may update these terms by publishing a new version on this site. Continued use after publication is acceptance. These terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules, without prejudice to mandatory consumer protections that cannot be waived.
